Harris Machine Tools, Inc. (SELLER) Terms and Conditions for Online Auction
Premium: A buyer’s Premium of 15% will be charged to all purchases at this sale.
Registration: All bidders are required to give full name, address, company name, contact information (phone, fax, and email), and bank information when registering. A credit card (MasterCard or Visa) is required to be on file when registering for this auction. If bidder possesses a tax exempt status, it should be stated at registration so no tax is calculated on any successful bids.
Payment: Upon notification of being the successful bidder, BUYER will have 48 hours to pay in full. SELLER accepts the following payment types: wire transfer, company check, or cashier’s check. ALL company checks MUST be accompanied by a bank letter of guarantee made out to Harris Machine Tools, Inc. ALL international buyers MUST pay by wire transfer. The full purchase price on all items to the same buyer must be paid within the time fixed and before removal of any of the goods.
Sales Tax: BUYER agrees to pay all applicable sales or use taxes imposed by all taxing authorities on such transaction unless BUYER shall present a resale certificate, certificate of exemption or the like, exempting the BUYER and SELLER from the payment of any such sales and use taxes. Any certificate or exemption must be submitted with payment.
Location: The machines are currently located in an active manufacturing plant and are under power. BUYER may arrange inspection of machines by calling 713-462-5800.
Inspection of Machines: BUYERS may arrange to inspect the machines by calling 713-462-5800. Inspection dates are Monday, March 11, 2013 and Tuesday, March 12, 2013. All persons entering the manufacturing facility MUST bring their own steel toe work shoes and safety glasses. These will NOT be provided at the inspection site.
Delivery: Pick-up, rigging, and loading will be the responsibility of the BUYER. A loading charge for each machine will apply. The loading charge for each machine will be posted in the online catalog. Trucks picking up items must be onsite at the assigned time or additional loading charges will apply. The machines are located in an active manufacturing plant and must be removed by the BUYER no later than March 22, 2013. The BUYER is responsible for arranging all transportation and ensuring the transport vehicle is capable of carrying the purchased item(s). If item(s) are not picked up within the agreed upon period, or other arrangements are not agreed upon by both BUYER and SELLER, SELLER reserves the right to restock, resell or otherwise dispose of said item(s) at SELLER’S sole discretion, with no refund to BUYER of any monies received.
Installation: Installation is NOT INCLUDED with any lot.
Condition of Items: All machines are USED. The descriptions and images included in the online catalog are true and correct to the best of SELLER’S knowledge at the time of publication. SELLER shall not be responsible for any incorrect description, typographical error, omission, or other errors with regards to the online catalog. No sale shall be set aside nor allowance made on account of any incorrectness, error in cataloging, or any other error not noted. Pictures are for representation purposes only, all pictures are intended to show the machine and major component parts to aid the BUYER in evaluating the machine.
Warranty: All machines offered in this auction are USED. All are “As Is”, “Where Is” and “With All Faults”. No warranty, expressed or implied is included with any machine offered here.
Indemnification: BUYER agrees to indemnify and hold SELLER harmless from and against all claims and liabilities relating to the condition or use of the items purchased or failure of user to follow instructions, warnings or recommendations of the manufacturer, or to comply with federal, state and local laws applicable to such items, including OSHA requirements, or for proximate or consequential damages, costs or legal expenses arising therefrom.
Compliance with Terms of Sale: In default of payment of bills in full within the time herein specified, the SELLER, in addition to all other remedies allowed by law, may retain all monies received as deposit or otherwise, as liquidated damages. Items not paid for or removed within the time agreed upon by BUYER and SELLER may be resold at public or private sale without further notice, and any deficiency, together with all expenses and charges of re-sale, will be charged to the defaulting BUYER.
Reserve: All items in this auction have a Reserve amount attached to them. For any item where the bidding does not reach the Reserve amount, Harris Machine Tools, Inc. will be under no obligation to sell that item for less than said Reserve. All bids above, and including, the Reserve amount will be accepted.
