I. Release and Indemnification:
By agreeing to the terms on this auction, the bidder
hereby releases and indemnifies International Machinery
Exchange, Star Valley Cheese, Bidspotter.com and their
officers, employees, principals and agents from any and all
liability and claims whatsoever, in any way associated with
visits to and inspections of real and personal property
located at the auction site of Star Valley Cheese, located
at 132 N. Main St., Thayne, WY 83127, International
Machinery Exchange at 214 N. Main St.
Deerfield, WI 53531 or any other location where machinery
may be stored, by the undersigned or the undersign?s
officers, employees, principals or agents.

The undersigned understands that neither
International Machinery Exchange, nor Bidspotter.com is the
owner of Star Valley Cheese and, as such, has no
responsibility nor liability with regard to the premises.
This release and indemnification shall continue to
be in effect for all visits of the undersigned, its
employees, principals or agents from this date through
February 28, 2012.

II. Buyer?s Premium:
The undersigned acknowledges that the auction is
subject to 15% Buyer?s Premium on all successful bids.
Payments by credit card will further be subject to an extra
3% charge resulting in a total Buyer?s Premium of 18%.
Purchasers from Wisconsin will be further responsible for a
state sales tax of 5.5% unless a tax exempt status is
established. Payment must be received by IME within 72
hours of receipt of invoice for successful purchases. Any
payments for winning bids not received by Nov. 25, 2011 may
be subject to sale cancellation and assessment of additional
costs not less than the 15% Buyer's Premium.

III. Terms of Removal:
(1). PURCHASERS?S RISK: All purchases made at this
sale are at the purchaser?s risk as soon as the bidding
period ends, the product is announced as sold by
Bidspotter.com and the email invoice is sent. All machinery,
equipment, merchandise and other items (the "Goods") are
sold on an "AS IS/WHERE IS" basis. The Auctioneer and
principal(s) shall have no liability for any loss or damage
to the items for any reason whatever after the bidding
period ends and the product is announced as sold. Removal
will be supervised and no removal or shipping is allowed
until invoices are paid in full.

(2). CLAIMS: No claims will be allowed after the
removal of goods from the sale of the premises.

(3). AUCTIONEER AND PRINCIPAL(S) LIABILITY: The
Auctioneer shall not, in any event, be liable for non-
delivery or for any other matter, to any purchaser of any
lot, other than for the return to the purchaser of the
deposit or sum paid on said lot, should the purchaser be
entitled thereto. Neither the Auctioneer nor its
principal(s) shall be held liable with respect to any item
sold in any greater amount than that paid by the purchaser
and, in all instances, the higher bid shall be accepted by
both the buyer and principal(s) as the value against which
all claims for loss or damage shall lie.

(4). All items may be subject to a pre-priced
loading cost. This is the cost for Loading/Removal and is
posted on the description for each lot. This cost covers the
removal of the items and preparation for shipping. It does
not cover any shipping costs. This extra loading cost WILL
NOT be subject to the Buyer's Premium and will be invoiced
separately from the winning bid notice. The seller will
handle all invoicing, packaging and loading of sold items.
Skidding only is considered w/ loading fees, if additional
crating is needed further costs will apply and be specified.
However, it is the buyer's responsibility to arrange for

estimates. International buyers can receive a proposal for
container loading and transport to anywhere in world.
Estimates for international buyers will be available by
request anytime. Container loading may be subject to
additional cost. Buyers will have up to 30
days to arrange for shipping. Payment by credit card of any
loading or shipping costs will be subject to a 3% fee, which
will be added to the total.

(5). Removal of all items from their location and/or
all shipping fees, shall be at the expense, risk and
liability of the purchaser. ALL REMOVAL WILL BE HANDLED BY
THE SITE APPROVED RIGGERS, BY ARRANGED SCHEDULE OR
APPOINTMENT ONLY. All shipments must be arranged for and
scheduled before Dec. 22, 2011, unless specific alternatives
have been arranged. Certain hand carry items may be removed
by buyer with scheduled appointment. No buyer or buyer's
representative may load or remove any lot with a Loading Fee
specified. The successful buyer of the Waste Treatment
Facility will have the option to remove with their own
people and receive an extended removal time, subject to
providing proper insurance.

IV. Additional Information:
All registered bidders will be subject to approval
and will require a credit card for registration purposes.

Payment for all winning lots MUST be received within 72
hours of closing or the buyer will risk forfeiture of the
items. Credit Cards are accepted as payment, however any
credit card payments will be subject to a 3% fee as noted in
the terms and conditions above.

V. Payment Terms:
Company checks are acceptable and must be made out to
"International Machinery Exchange". If successful bidders
would prefer to pay by wire transfer, please contact Elaine
at 608-764-5481 for wire transfer instructions. Payment
must be made within 72 hours of receipt of invoice.

Identified by Lot #(number). This catalog is a guide only.
The auctioneer believes each lot has been accurately
described, however, makes no warranty or guarantee,
expressed or implied, as to the accuracy of the information
in this catalog. Inspection is welcomed.
